Item 2.02. Results of Operations and Financial Condition

     On October 21, 2004, Potash Corporation of Saskatchewan Inc. issued a news release announcing its financial results for the third quarter ended September 30, 2004. A copy of the news release is attached as Exhibit 99.1. This news release includes certain non-GAAP financial measures and a reconciliation of those measures to the most directly related comparable GAAP measures.
