(1) | On March 2, 2010, four business days following the release of the Company's 2009 Earnings, vesting conditions for 4,447 performance-based RSUs awarded in 2009 were met, resulting in the immediate issuance of an equivalent number of shares of Common Stock which became reportable for Section 16 purposes. 1,844 shares were withheld in payment of tax obligations from the total of 4,447 shares issuable, resulting in the net amount of shares reported above. |
