Item 5.03.  Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On June 10, 2011, Five Star Quality Care, Inc., or the Company, filed Articles of Amendment to its Articles of Amendment and Restatement increasing the number of its authorized shares from 51,000,000 to 76,000,000, which consists of 75,000,000 shares of common stock, $.01 par value per share, and 1,000,000 shares of preferred stock, $.01 par value per share. The Articles of Amendment were effective upon filing.
