On January 24, 2007, the Registrant issued a press release and held a conference call with analysts to report on the results of operations for the fourth quarter of fiscal year 2006, which ended on November 30, 2006.

Furnished with this Form 8-K as Exhibit 99.1 is a copy of the press release labeled “McCormick Reports Excellent Results for 2006 Fourth Quarter and Fiscal Year; Expects Strong Growth in 2007,” which includes a Consolidated Income Statement for the three and twelve month periods ended November 30, 2006 and November 30, 2005, a Consolidated Balance Sheet of the Registrant as of November 30, 2006 and November 30, 2005, and an Consolidated Statement of Cash Flows for the twelve months ended November 30, 2006 and November 30, 2005.
