Item 2.02. Results of Operations and Financial Condition
On November 2, 2006, Mothers Work, Inc. (the “Company”) issued a press release reporting sales for October 2006 and providing updated guidance information related to earnings for its quarter ended September 30, 2006. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The disclosure in this Current Report, including in the Exhibit attached hereto, of any financial information shall not constitute an admission that such information is material.
On November 2, 2006, the Company issued a press release announcing that the Company will redeem $25,000,000 face value of its outstanding 11¼% Senior Notes at a price of 105.625% of face value (plus accrued interest) pursuant to the optional redemption provisions of the indenture of the Senior Notes. This redemption was approved by the Company’s Board of Directors. The redemption date will be on or about Friday, December 8, 2006. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
