On May 12, 2004, Pixelworks, Inc. issued a press release announcing the pricing of an aggregate of $125 million of its Convertible Subordinated Debentures due 2024, to be sold in a private offering under Rule 144A (plus up to an additional $25 million aggregate principal amount of such debentures if and to the extent that the initial purchasers exercise a purchase option), subject to market and other conditions.

 

The press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by this reference.
